He has also offered his expertise on various assignments relating to EPC Contract / Joint Venture / Investor Agreements including those involving substantial foreign investment like CPPIB (Canadian Pension Fund). He has played a key role in negotiating and finalizing major Joint Ventures and Divestment Agreements with well-known names such as JP Morgan, HDFC, The Tata Group, The GVK Group, The Adani Group. He was fully involved in developing India’s first Green Field Airport in Bengaluru (BIAL) etc.

His specific expertise includes advising, reviewing and negotiating in respect of Concession Agreements in respect of various Infra Sectors , Transaction Documents, Project Financing Documentation (including the creation of Pledge / Mortgage), Stakeholders Agreements, Claims Management, Draft Schemes of Mergers, Demergers and Amalgamations pertaining to all Infra sectors.

He also brings extensive experience in the interpretation of clauses in the Concession, Financing and other Agreements, as well as rendering strategic legal advice on Litigation / Arbitration matters especially with Government Agencies. His experience includes Corporate Compliance, Due Diligence Reviews & Legal Audits. RC also has close to eight years of litigation experience in civil matters in the Madras High Court and is well-versed with various other aspects of Corporate and Commercial law, including Insolvency Bankruptcy Code (IBC).

Before joining Fox Mandal, he worked with the Murugappa Group/SPIC Group and Larsen & Toubro as Chief Legal Officer and Company Secretary.

He has spoken at seminars organized by ASSOCHAM, IIM (Ahmadabad) on Land Legislation and Challenges in Project Financing Documentation and has participated as a panelist in a discussion on various risks involved in PPP Projects in SUM INFRA sponsored by CII.

Gopala Rao co-chairs the Firm’s tax vertical in Southern India. He retired as the Chief Commissioner of Income Tax, Mumbai, after serving the Income Tax Department for 35 years. He specializes in Corporate Taxation, Search & Seizure Assessment Procedures, Charitable Trusts & NGOs as well as Dispute Resolution. He has extensively worked with IT & ITES, Banks & NBFCs, Automobiles & Real Estate entities.

EXPERTISE

His proficiency lies in handling tax matters of Corporate entities, MNCs, PSUs, Charitable & Religious Trusts, Search & Seizure Assessment procedures. He was also actively associated with the work relating to registration, assessment and enforcement of law relating to Charitable Trusts, which were engaged in the fields of Education, Medical care, R & D and other Charitable activities. Being on the other side of the table, he has had the expertise of deciding appeals of various Companies, PSUs, big corporate and business houses as a First Appellate Authority.
