Pasupathy Ap is a seasoned Renewable Energy professional with over two decades of experience in the legal and RE sector. He has handled and led the legal portfolio for wind farm/solar farm projects for various OEMs and also led the project development (includes land, permit and approvals) activities for various OEMs/IPPs such as Gamesa Renewables (now Siemens Gamesa), Vestas, Bharat Light&Power (Now Enel green), SunEdison and ReNew Power.

EXPERTISE

An expert in RE related approvals, contracts, litigation, regulation and compliances with a notable percipience in handling the land acquisition and its due diligence across India, and expertise in EPC, BoP and Development contracts. Furthermore, he exerts acuity in the area of development of wind and solar projects and their risk management.

Prior to his association with the Fox Mandal family, Mr. Pasupathy played an instrumental role in leading and institutionalizing the wind-farm undertaking of legal departments of various renowned and significant RE companies like Siemens Gamesa, Vestas, Bharat Light and Power (presently known as Enel Green) Sun Edison etc. He also supervised and succoured the project development department of the RE companies in rooting their renewable energy project vision Tamil Nadu, Karnataka, Gujarat and Madhya Pradesh.

His cogency and prowess in the legal and RE project development sphere shall facilitate FM to render dynamic and sophisticated end-to-end solutions to the RE exigencies, across the industry value chain; especially pertaining to the legal aspects including land, structuring of transactions and projects, due diligence on counter parties, contract negotiation, contract management, investor management and litigation management.

As a partner in the Chennai office, he heads the Real Estate Practice.

In his 20 years of legal career, he has extended unique solutions in a versatile manner to a range of public and private clients. Much of his work involves handling real estate related litigation, carrying out title due diligence and drafting contracts for corporations, PSU’s, Financial Institutions, SEZ developers, real estate developers and individuals.

He also counsels clients on finance, joint ventures, debt restructuring, commercial leasing, environmental compliance and real estate redevelopment. Apart from this, he also deals with the development of townships, SEZ, commercial and industrial establishments liaising with various Government and Regulatory authorities, RERA registration, compliance and dispute resolution. He further indulges in drafting contracts relating to real estate transactions, including construction & engineering contracts, conveyance deeds, agreements relating to sale/lease, build-to-suit, leave and license, mortgage and hypothecation of property.

As part of Government advisory services, he closely interacts with policymakers and provides his expert advice on the legal intricacies surrounding new policies and reforms. As a recognition of his contribution, he has been appointed as an external legal consultant to Tamil Nadu Real Estate Regulatory Authority (TN RERA), Tamil Nadu Housing Board and Tamil Nadu Housing and Urban Development Department.

His sound working knowledge underpinned by a thorough understanding of legal principles has won him considerable recognition in the real estate industry in Chennai. He regularly conducts workshops, seminars and training programs for students, entrepreneurs, business organisations, confederations and government agencies on legal aspects revolving around the real estate industry. He is also empanelled with various Banks & NBFCs.

While the firm won an award for its ‘corporate and commercial practice’ by the Indian Business Law Journal, he was particularly commended for his ‘professionalism and quality of advice.’

A Fulbright fellow, Jeeva understands the pulse of complex business transactions and applies his expertise in Commercial Laws to provide valuable advice to his clients. As a partner at Fox Mandal, he heads the Chennai office and co-chairs the Corporate and Commercial practice of the firm in South and West India. He has significant experience in the energy sector, especially renewable and technology-related.

Well-accoutered with over 18 years of diverse experience, he advises on a variety of arrangements that go to the core of clients’ ongoing business. These include foreign investment in India, joint ventures, debt and equity funding of projects and companies. He also works on inbound & outbound investments, mergers and acquisitions transactions and specializes in promoter/founder/investee representation.

He further deals in structuring and advising on overseas direct investment by Indian entities and Intellectual Property laws with a specific focus on transaction IP, IP strategies and facilitation and management of technology transfers.

His expertise also encompasses advising on debt and equity funding strategies, private equity and fund investments, as well as management of compliance. In addition, Jeeva has been mentoring several entrepreneurs and start-ups, often hand-holding many of them through multiple rounds of funding and exits.
